1. Acceptance
These terms are an agreement between you and Seateks Applied Technology Co., Ltd. ("Seateks"). By visiting the website or using Seateks' software, apps or services (the "Services"), you agree to these terms. If you use the Services on behalf of an organisation, you confirm you are authorised to bind it.
If you and Seateks have a separate contract (a software development agreement, service agreement or order form), that contract prevails where it conflicts with these terms.
2. License to use the software
Provided you follow these terms and pay any applicable fees, Seateks grants you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal purposes.
You may not: copy, modify, distribute, sell or rent the Services; reverse engineer, decompile or try to extract source code except where the law allows; remove copyright notices; or use the Services to build a competing product.
3. Accounts
You are responsible for giving accurate information, keeping your login details confidential and for all activity under your account. Tell us right away if you notice unauthorised access.
4. Acceptable use
When using the Services you must not:
- Break Vietnamese law or infringe the rights of others.
- Upload malware, attack, probe for vulnerabilities or disrupt our systems.
- Access data, accounts or systems you are not authorised to access.
- Send spam, fraudulent, abusive or offensive content.
- Scrape data or generate abnormal load without permission.
- Use AI features to create unlawful or harmful content.
5. Intellectual property
The Services, source code, designs, trademarks, logos and website content belong to Seateks or its licensors and are protected by intellectual property law. These terms do not transfer any ownership to you.
For custom-built software, ownership of the delivered product is set by the contract between the parties.
If you send us feedback, Seateks may use it freely to improve the Services without any obligation to you.
6. Your data and content
You keep all rights to the data and content you put into the Services. You allow Seateks to store, process and display that content as needed to provide the Services. You are responsible for the lawfulness of your content and for having the rights to put it into the Services.
Personal data is handled under the Seateks Privacy Policy.
7. Fees and payment
Paid Services are charged according to the agreed price list or quote. Unless agreed otherwise, fees paid are non-refundable. If payment is late, Seateks may suspend the Services after giving notice. Prices exclude taxes unless stated otherwise.
8. Third-party services
The Services may integrate or link to third-party services (payments, maps, messaging, AI models and so on). Your use of those services is governed by the third party's terms; Seateks is not responsible for their content or operation.
9. Updates and availability
We keep improving the Services and may change, add or retire features. We work to keep the Services stable but do not promise uninterrupted or error-free operation unless a written service level agreement (SLA) says so.
10. Disclaimer
To the extent permitted by law, the Services are provided "as is" and "as available". Seateks makes no implied warranties of merchantability or fitness for a particular purpose. Output from AI features may be inaccurate; check it before relying on it for important decisions.
11. Limitation of liability
To the extent permitted by law, Seateks is not liable for indirect, incidental or consequential damages, lost profits, lost data or business interruption. Seateks' total liability for all claims relating to the Services will not exceed the fees you paid Seateks in the 12 months before the event giving rise to the claim.
12. Suspension and termination
You may stop using the Services at any time. Seateks may suspend or end your access if you breach these terms or where the law requires. On termination you may request an export of your data within 30 days; after that your data may be deleted.
13. Governing law and disputes
These terms are governed by the laws of Vietnam. Disputes will first be resolved through good-faith negotiation; if that fails after 30 days, either party may bring the dispute to a competent court in Ho Chi Minh City.
14. Changes to these terms
Seateks may update these terms. The date at the top shows the latest version; for material changes we will give notice in advance. Continuing to use the Services after the effective date means you accept the new terms.
